Old Soul
TERMS AND CONDITIONS
DEALERSHIP
Old Soul is highly selective in approving and maintaining authorized dealers. Old Soul reserves the right to adjust distribution if necessary to maintain standards in service, product representation, image, sales and credit performance. Only approved applicants will be considered authorized dealers. Each store location, new or existing, is considered a separate dealership and as such must submit a separate dealership
application. Old Soul products are to be sold in authorized dealer locations only and sold to end users only. Any present or prospective dealers which does not meet Old Soul standards may, at Old Soul’s discretion, be refused service.
TERMS
New accounts will be shipped C.O.D. cash or certified check. Upon receipt of our dealer application, if credit is granted, terms will be established for C.O.D. Company check. A change in terms requires the consent and approval of the Old Soul credit department. The minimum order requirement is $100.00. Terms will be limited to select accounts; accounts that have AAA+ credit ratings and those that meet
a minimum order amount.
CREDIT
Periodically the Old Soul Credit Management may request that a new credit application be completed, signed and returned. If credit is approved, a credit limit will be established and you will be notified in writing of your terms and credit limit.
ACCEPTANCE OF ORDERS
All orders are subject to approval and acceptance by Old Soul. Credit Management. All orders are subject to the ‘Terms 8 Conditions” attached hereto. Shipment will be contingent upon the dealer’s credit standing at the time of shipment. All pre-book orders must be signed by an authorized buyer and by the Old Soul sales representative. All prices and programs are subject to change without notice. Prices in effect at time of shipment will prevail. We reject any terms or conditions on dealer purchase orders that are inconsistent with our own. We retain the right to skip 2 weeks prior and up to 4 weeks after a specified ship date. Old Soul agrees that it will try to fill the accepted orders as promptly, and practical. subject, however. to delays caused by transportation conditions, labor or material shortage, strikes, fires, acts of God or &her causes beyond reasonable control of Old Soul customer expressly releases Old Soul from any and all liability arising from the failure to fill any orders from an Authorized Dealer. Pre-booked orders cannot be changed or canceled after the specified order due date.
LATE PAYMENT
Dealer agrees to make payment in accordance with the schedule and amounts set forth on the invoices, price list and credit applications provided by Old Soul, Dealer understands that any price discounts by Old Soul are contingent upon prompt payment in accordance with Old Soul terms and conditions, and dealer agrees to pay the full non-discounted price for any merchandise for which full and timely payment is not made. Dealer agrees to pay service & charges on payments past due at the rate of one and one half percent monthly (1.5%). In the event it becomes necessary for Old Soul to retain the services of an outside agency to assist in collection of any amounts past due, dealer agrees to pay Old Soul all reasonable collection costs, attorney fees, court costs, and all other fees associated with collection of the past due amounts. If dealer becomes past due in its payments to Old Soul., Old Soul may at its option, accelerate all invoices to become due and payable immediately. The interpretation and enforcement of this agreement shall be governed by the laws of the State of Arizona. Any dealer whose check is returned (NSF) by the bank will automatically be placed on a prepaid cash basis and may have their dealership revoked.
BACK ORDERS
Old Soul will ship any/all back ordered product as it becomes available. Orders and back orders will be prioritized by order date.
CLAIMS AND REFUSALS
All claims of short or mis-shipments must be made within 10 days of receipt of goods. In such instances, your sales representative should be notified of the problem to ensure prompt service. Damaged shipments should be dealt with through the freight carrier. Refusal of shipments will not be tolerated. If an order is refused. The dealer will be liable for all shipping charges and a 25% restocking fee, and risk possible loss of dealership. Future shipments will be held until all refusal fees are paid.
WARRANTY RETURNS
All returns to Old Soul must receive prior authorization. (issued by phone). Abused product, and normal wear and tear will not be covered: proof of purchase must accompany all returns. Any warranty on products for the end consumer will be honored on a case by case basis through Old Soul and the customer. Old Soul will not honor any returns made by dealers on behalf of their customers. All product is considered un warranted unless otherwise documented by Old Soul to the dealer.
Shipping
All shipments are F.O.B. Phoenix, Arizona unless otherwise specified, freight collect by UPS, USPS, or common carrier. Shortages or errors must be reported to Old Soul within 10 days of receipt of goods. Lost shipments may be reported to Old Soul, however, we do not assume responsibility for merchandise damaged or lost in transit. We will trace shipments but accept no liability. Damaged shipments are reported
directly to the carrier.
